PROFESSIONAL EXPERIENCE

Mr. Womack has been practicing law for over forty years. For over thirty years his practice has been focused in environmental law.

Mr. Womack has been active in the Environmental Law Section of the Tennessee Bar Association (serving as Chairman of the Section in 2006-2007 and is a member of the Section’s Executive Council) and the Real Estate and Environmental Law Section of the Memphis Bar Association. He has made numerous presentations on a variety of environmental law issues, including environmental laws and regulations affecting real estate development, environmental audits and assessments, and solid and hazardous waste regulations.

Mr. Womack has counseled businesses and other entities on federal, state, and local environmental laws, rules and regulations in such areas as release reporting, storm water permitting requirements, wastewater management, air emissions, underground storage tanks and real estate transactions. He has represented a number of businesses and other entities in environmental cost recovery actions and environmental enforcement actions. He has represented persons, businesses and other entities involved in the redevelopment of properties impacted by the presence or potential presence of hazardous substances or pollutants. In addition, he has counseled persons, businesses and other entities in the environmental due diligence process in support of real estate transactions and the sale of businesses.

REPRESENTATIVE MATTERS

• Representation of developers, sellers and purchasers of real estate in negotiating and drafting brownfield redevelopment agreements with the Tennessee Department of Environment and Conservation
• Counseling clients in spill or release reporting requirements
• Counseling and assisting clients in the disclosure of environmental violations so as to take advantage of penalty reduction policies afforded by the United States Environmental Protection Agency and the Tennessee Department of Environment and Conservation
• Representation of clients in the defense of enforcement actions initiated by the United States Environmental Protection Agency, the Tennessee Department of Environment and Conservation and the Pollution Control Section of the Memphis and Shelby County Health Department
• Representation of clients in the sale and purchase of plant facilities where environmental compliance issues were investigated and, in some instances, corrective action was required
• Representation of clients in the negotiation of permit conditions (including air emissions permits and stormwater discharge permits) and in actions to contest permit conditions
• Representation of clients in the defense of environmental cost recovery actions
• Representation of clients in the negotiation and/or drafting of contract and lease provisions allocating responsibilities under the environmental laws and regulations
• Representation environmental response contractors in the drafting of environmental response contracts and one client in the negotiation and drafting of a landfill operation contract
